CONSENT AGREEMENT
Effective Date: July 20, 2026
1. Purpose and Acceptance
This Consent Agreement (this "Agreement") is entered into between you ("you" or "User") and OFA Group, Inc., a company incorporated under the laws of the Cayman Islands, together with its subsidiaries and affiliates ("OFA Group," the "Company," "we," "us," or "our"), and sets forth your consents in connection with your access to and use of the QikBIM platform, including the website located at www.qikbim.com, the QikBIM web portal located at app.qikbim.com, and related applications and services (collectively, the "Services"). This Agreement is incorporated into and forms part of the QikBIM Terms and Conditions and should be read together with the Privacy Policy and the System Use Disclaimer. By creating an account, clicking to accept, or accessing or using the Services, you provide the consents set forth in this Agreement.
2. Consent to Electronic Transactions and Communications
You consent to transact business with the Company electronically and agree that: (a) your electronic acceptance of the Terms and Conditions, this Agreement, and related policies constitutes your legally binding signature and agreement; (b) the Company may deliver all notices, disclosures, agreements, receipts, and other communications relating to the Services electronically, including by email to the address associated with your account or by posting within the Services, and that such electronic delivery satisfies any legal requirement that communications be in writing; and (c) you are responsible for maintaining a valid email address and the hardware and software necessary to receive, access, and retain electronic communications. You may withdraw your consent to electronic communications by contacting support@qikbim.com and closing your account; withdrawal of consent may prevent continued use of the Services.
3. Consent to Data Collection and Processing
You consent to the collection, use, processing, storage, and disclosure of your personal information and usage information as described in the Privacy Policy, including: (a) account, payment, and communication information you provide; (b) usage data such as pages viewed, features used, clicks, and session activity; (c) device, log, and approximate location data; and (d) data collected through cookies and similar technologies deployed on the Services, including by our website platform provider, Wix.com Ltd., and our payment processor, Stripe, Inc. You may manage cookies through your browser settings and, where available, through preference tools provided on the Services.
4. Consent to Processing of Inputs and Outputs; AI Processing
You acknowledge that the Services use artificial intelligence and machine learning systems, and you consent to the processing of the prompts, parameters, files, drawings, and other materials you submit ("Inputs") and the materials generated by the Services ("Outputs") by automated systems, and to review by authorized Company personnel, for the purposes of: (a) providing, operating, maintaining, and supporting the Services; (b) safety, security, fraud prevention, and abuse detection; (c) quality assurance and troubleshooting; (d) compliance with applicable law and enforcement of our Terms and Conditions and policies; and (e) developing, improving, and training the Services and the Company’s underlying models and technology. If and when the Company offers settings permitting you to limit the use of your Inputs and Outputs for model training, your elections in those settings will govern with respect to such use.
You represent and warrant that you have all rights, consents, and lawful bases necessary to submit your Inputs, including with respect to any personal information or third-party materials contained therein, and you agree not to submit sensitive personal information to the Services.
5. Consent to International Transfer
You acknowledge that the Company is incorporated in the Cayman Islands with operations in the United States, and you consent to the transfer, storage, and processing of your information in the United States and other jurisdictions as described in the Privacy Policy, which jurisdictions may have data protection laws that differ from those of your home jurisdiction.
6. Acknowledgment of AI Limitations and Professional Review Requirement
You acknowledge and agree that: (a) Outputs are generated by artificial intelligence, are conceptual and preliminary in nature, and may contain errors, omissions, inaccuracies, and code non-compliance; (b) the Services do not provide architectural, engineering, or other professional services or advice, and no Output is signed, sealed, or certified by a licensed professional; (c) you will not use any Output for permitting, bidding, fabrication, construction, or occupancy purposes without independent review, verification, and approval by professionals duly licensed in the relevant jurisdiction; and (d) your use of the Services and reliance on any Output is at your sole risk, as further described in the System Use Disclaimer and the Terms and Conditions.
7. Consent to Recording and Logging of System Activity
You consent to the logging, monitoring, and recording of your activity on the Services, including commands, feature usage, session metadata, and interactions with generated content, for the purposes described in Section 4 and in the Privacy Policy.
8. Marketing Communications
Where required by applicable law, and by providing your contact information and opting in where an opt-in is presented, you consent to receive marketing and promotional communications from the Company regarding the Services and related offerings. You may opt out of marketing communications at any time by following the unsubscribe instructions contained in such communications or by contacting support@qikbim.com. Opting out of marketing communications does not affect service-related communications.
9. Withdrawal of Consent
Where processing is based on your consent, you may withdraw your consent at any time by adjusting available settings within the Services or by contacting support@qikbim.com. Withdrawal of consent does not affect the lawfulness of processing carried out before withdrawal and may limit or prevent your continued use of some or all of the Services. Your rights with respect to your personal information, including rights of access, correction, and deletion, are described in the Privacy Policy.
10. Term; Updates; Contact
This Agreement applies for so long as you access or use the Services and thereafter to the extent applicable to information collected during your use. We may update this Agreement from time to time; material changes will be reflected by an updated Effective Date and notice as described in the Terms and Conditions, and your continued use of the Services after an update becomes effective constitutes your acceptance of the updated Agreement.
